Pre-Authorized Payment Authorization - Terms and Conditions
The Customer acknowledges that this Authorization is provided for the benefit of Loose Foot Computing Limited and The Toronto-Dominion Bank and is provided in consideration of The Toronto-Dominion Bank agreeing to process debits against The Customer's account in accordance with the Rules of the Canadian Payments Association.
The Customer warrants and guarantees that all persons whose signatures are required to sign on this account have acknowledged this agreement below.
The Customer hereby authorizes Loose Foot Computing Limited with The Toronto-Dominion Bank to draw on The Customer's account number provided, for services ordered.
This authorization may be cancelled at any time upon notice by The Customer. The Customer acknowledges that, in order to revoke this authorization, The Customer must provide notice of revocation to Loose Foot Computing Limited.
The Customer acknowledges that provision and delivery of this authorization to Loose Foot Computing Limited constitutes delivery by The Customer to The Toronto-Dominion Bank. Any delivery of this authorization to The Customer constitutes delivery by The Customer.
The Customer and Loose Foot Computing Limited agree to waive the pre-notification requirement as set out in Section 11 of Appendix II of rule H1 of the Canadian Payments Association.
The Customer undertakes to inform Loose Foot Computing Limited, in writing, of any change in the account information provided in this authorization prior to the next due date of the PAD/EFT.
The account that Loose Foot Computing Limited is authorized to draw upon is indicated on LFC's customer registration form or subsequent payment change forms or by another means.
The Customer acknowledges that The Toronto-Dominion Bank is not required to verify that a PAD/EFT has been issued in accordance with the particulars of The Customer's Authorization including, but not limited to, the amount.
Revocation of this authorization does not terminate any contract for goods or services that exist between The Customer and Loose Foot Computing Limited. The Customer's Authorization applies only to the method of payment and does not otherwise have any bearing on the contract for goods or services exchanged.
A PAD/EFT may be disputed under the following conditions:
- the PAD/EFT was not drawn in accordance with Loose Foot Computing Limited's Authorization; or
- the authorization was revoked; or
- pre-notification was not received.
The Customer, in order to be reimbursed, acknowledges that a declaration to the effect that either (1), (2) or (3) took place, must be completed and presented to the branch of The Toronto-Dominion Bank holding Loose Foot Computing Limited's account up to and including 90 calendar days in the case of a personal/household PAD/EFT (or up to 10 business days in the case of a business PAD/EFT), after the date on which the PAD/EFT in dispute was posted to Loose Foot Computing Limited's account.
The Customer acknowledges that a claim on the basis that Loose Foot Computing Limited's Authorization was revoked, or for any other reason, is a matter to be resolved solely between The Customer and Loose Foot Computing Limited when disputing any PAD/EFT after (90 calendar days in the case of a personal/household PAD/EFT or 10 business days in the case of a business PAD/EFT).
Definitions
Business PAD/EFT: Means a PAD/EFT (Pre Authorized debit in paper, electronic or other form) drawn on the account of the Payor such as, but not limited to, a corporation, an organization, a trade, an association, a government entity, a profession, a venture or an enterprise, for the payment of goods and services related to the commercial activities of the Payor.
Personal / Household PAD/EFT: Means a PAD/EFT (Pre Authorized debit in paper, electronic or other form) drawn on the account of the Payor such as, but not limited to, charitable donations, RESP and Spousal RRSP contributions, mortgage installments, utility bills, insurance premiums, membership fees, property taxes, credit card billings and payments for other consumer goods and services.
